Terms of Service

1. Acceptance of These Terms

These Terms of Service (the "Terms") are a legally binding agreement between you and FUN MANAGEMENT SRL ("we," "our," or "us"), the operator of the Memory.fit mobile app (the "App"), the Memory.fit MCP server at https://api.memory.fit/mcp ("Memory.fit MCP") and the memory.fit website (together, the "Service"). By creating an account, purchasing a subscription, connecting an AI assistant, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Health Disclaimer and Assumption of Risk

You should consult a qualified healthcare professional before changing your diet or training, and you must do so if you have any medical condition, are pregnant, or have a history of disordered eating.

Memory.fit applies safety limits to what a connected assistant can write to your plan (for example around energy deficits and carbohydrate intake during sessions), but these limits are generalized and do not make any plan safe for every individual. If you experience pain, dizziness, illness, or any other concerning symptom during training or as a result of a nutrition change, stop and seek medical advice.

By using the Service you confirm that you are a generally healthy adult (or at least 16 years old, see Section 3), that you have considered whether professional medical or dietetic advice is appropriate for your situation, and that you knowingly and voluntarily assume all risks associated with your training and nutrition decisions.

3. Eligibility and Minimum Age

• You must be at least 16 years old to use the Service.
• You must be capable of entering into a binding contract under the laws applicable to you.
• You must not have been previously suspended or removed from the Service.

4. Description of the Service

Memory.fit is your own data and memory layer for the AI assistants you choose (for example Claude, ChatGPT and others), built for endurance athletes. The Service includes:

• Your data in one place: training, sleep, recovery, body and fueling data imported from the sources you connect (see Section 11), and shown to you in the App;
• Memory.fit MCP: a server your AI assistants connect to, with your permission, to read your data and — if you allow it — save memory, log meals and weight, change your plan, and arrange your Today and Progress screens;
• Deterministic calculators: fixed formulas grounded in published sports-nutrition research (listed in the App under Settings → About → Sources), such as the fueling engine, which your assistants can call as tools; more calculators (for example training load and recovery) may be added;
• Measured scores such as the Fuel Score, computed from your data;
• Workout delivery: if you turn it on, sending planned sessions to Apple Watch, COROS, TrainingPeaks, intervals.icu or Garmin;
• An activity view showing what each assistant read or changed, with undo for its changes.

The former in-app AI coach is switched off. Older versions of the App may still offer meal logging from a photo or voice note analyzed by AI; those estimates are approximations. See the Privacy Policy for how that data is processed.

5. Accounts and Account Security

• You must provide accurate and complete information when creating an account and keep it up to date. The usefulness of the Service depends on the accuracy of your data.
• You are responsible for keeping your account credentials and any personal access tokens confidential, and for all activity under your account — including activity by the assistants you connect.
• Notify us promptly at privacy@memory.fit if you suspect unauthorized use of your account or a token, and revoke the token in the App.
• One account is for one person. You may not share, sell, or transfer your account.

6. Connecting AI Assistants

You connect an assistant with "Sign in with Memory.fit" or with a personal access token, and you choose its permissions. You can change them or disconnect it at any time in Settings → AI agents.

• Your choice, your responsibility. Which assistants you connect, what you let them do, and what you do with their answers are your decisions. Each assistant is operated by its own provider under its own terms; we are not responsible for its output or for what it does with your data.
• Changes an assistant makes are made on your behalf. Meals it logs, memory it saves and plan changes it makes are treated as yours. You can review and undo them in the App.

Acceptable Use for Connected Assistants

When you connect an assistant or use Memory.fit MCP, you agree that you will not:

• Connect it to anyone's account but your own, or use it to access another person's data;
• Share a personal access token or your Memory.fit link with anyone, or publish it;
• Use Memory.fit MCP to run a service for other people, to resell access, or to collect data at scale;
• Circumvent or try to circumvent permissions, rate limits, or the safety limits that apply to plan changes;
• Use it to send data to an AI application in breach of a data source's terms, or to try to obtain Strava data through Memory.fit MCP;
• Use data from the Service to train or fine-tune machine-learning models, other than as your own assistant's provider does under its terms with you;
• Direct it to write content that is unlawful, harmful, or deliberately false into your account.

We may rate-limit, suspend or revoke an assistant's access if we reasonably believe it is being used in breach of these Terms or puts the Service, your data or others at risk. We will tell you when we do, where reasonably practicable.

7. Subscriptions, Billing, Cancellation, and Refunds

Memory.fit is a paid subscription, Memory.fit Pro, with a 7-day free trial for new subscribers. It is sold as an auto-renewable subscription through the app store you download the App from (the Apple App Store or Google Play), with subscription state managed via RevenueCat. The app store handles billing, renewals, and refunds.

• Auto-renewal: Subscriptions renew automatically unless canceled before the end of the current period, in line with the app store's rules (on the Apple App Store, at least 24 hours before the end of the period; your account is charged within 24 hours before the end of the period).
• Managing and canceling: You manage and cancel your subscription in your Apple ID or Google Play account settings. Deleting the App does not cancel your subscription.
• Refunds: Refunds are handled by the app store and are governed by its refund policy. Request refunds through the app store, not through us.
• Free trials: Where a free-trial period is offered, it follows the app store's rules. Any unused portion of a free trial is forfeited when you purchase a subscription, where those rules so provide.
• Prices: Prices are set per country and shown in your app store's currency, including any VAT or sales tax the store adds where it includes it. The price the app store shows before you subscribe is the price you pay.
• Price changes: If subscription prices change, the change applies in accordance with the app store's subscription terms, and you will be able to cancel before it takes effect.

Referral Codes

• A friend who enters a valid referral code may receive a period of free access to Memory.fit Pro, and the person who shared the code may receive one when the friend subscribes, as described in the App.
• Referral codes may be offered from time to time. They have no cash value, may not be sold or exchanged, and we may modify, limit, or withdraw a referral program at any time. We may revoke benefits obtained through fraudulent or abusive use of referral codes.

8. Acceptable Use

You agree that you will not:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems;
• Probe, scan, or test the vulnerability of the Service, or interfere with or disrupt its operation;
• Reverse engineer, decompile, or disassemble any part of the Service, except where such restriction is prohibited by applicable law;
• Scrape, harvest, or bulk-extract data from the Service, or access it by automated means other than the interfaces we provide (the App and Memory.fit MCP, used as Section 6 allows);
• Use the Service to develop a competing product or to train machine-learning models;
• Upload content that is unlawful, infringing, or harmful, or that contains malware;
• Misrepresent your identity or impersonate any person or entity.

9. Your Content

"Your Content" means the content in your account: data imported from the sources you connect, food and training logs, photos, documents, and the memory, notes, plans and other content you or your connected assistants write. You retain ownership of Your Content.

You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display Your Content solely to the extent needed to operate, provide, secure, and improve the Service — for example, showing it to you, serving it to the assistants you connect within the permissions you granted, or sending a planned session to a device you chose. This license ends when Your Content is deleted from the Service, subject to residual copies removed in the ordinary course of backup cycles and to any retention required by law. Processing of Your Content that is personal data is governed by our Privacy Policy.

You are responsible for Your Content and must have the rights necessary to submit it. We may remove content that violates these Terms.

10. Intellectual Property

The Service — including the App, Memory.fit MCP, website, software, calculators, design, text, graphics, logos, and trademarks — is owned by FUN MANAGEMENT SRL or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App on devices that you own or control, for your personal, non-commercial use, in accordance with these Terms and the terms of the app store you obtained it from. No other rights are granted.

11. Third-Party Services

The Service connects to services run by other companies. Each is governed by its own terms and privacy policy, and we are not responsible for its acts, omissions, availability, or the accuracy of its data. The full list is in our Privacy Policy.

• AI assistants. The assistants you connect (for example Claude or ChatGPT) are your choice and your responsibility, under your own agreement with their providers. See Sections 2 and 6.
• Device makers and data sources. Apple Health, Health Connect, Strava, Withings, Oura, Polar, WHOOP, intervals.icu, COROS, Garmin and the other device makers continue to be governed by their own terms with you. Their data depends on the accuracy and availability of their devices and services. Strava data is shown only in the App and is never made available to AI assistants.
• Stridee. Garmin, COROS, WHOOP, Wahoo, Suunto, Zepp and Hammerhead connect through our data partner Stridee (platform.stridee.com), which passes their data to Memory.fit and delivers planned sessions to Garmin. If Stridee or a device maker changes or ends its service, those connections may stop working.
• TrainingPeaks sign-in. Connecting TrainingPeaks with your own TrainingPeaks sign-in is not an official TrainingPeaks integration and is not endorsed by TrainingPeaks. It may stop working at any time, at TrainingPeaks' discretion, and your use of TrainingPeaks remains subject to its terms. The calendar-link (iCal) option is an alternative that reads planned sessions only.
• Infrastructure and payments. Apple and Google (app stores and payments), RevenueCat (subscription management), Supabase (authentication and database) and our other service providers.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, THAT ANY THIRD-PARTY CONNECTION WILL KEEP WORKING, OR THAT ANY DATA, CALCULATION, ESTIMATE, OR OUTPUT OF AN AI ASSISTANT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOU.

Nothing in this section limits warranties or guarantees that cannot be excluded under mandatory consumer-protection law applicable to you (see Section 17).

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FUN MANAGEMENT SRL AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, INCLUDING RELIANCE ON ANY CALCULATION OR ON THE OUTPUT OR ACTIONS OF AN AI ASSISTANT YOU CONNECTED. TO THE SAME EXTENT, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, for fraud, or for willful misconduct, and nothing in these Terms affects mandatory consumer rights (see Section 17).

14. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless FUN MANAGEMENT SRL from claims, damages, and reasonable expenses (including legal fees) brought by a third party and arising out of Your Content, your breach of these Terms, or your unlawful use of the Service. This clause does not apply to the extent prohibited by mandatory consumer-protection law applicable to you.

15. Suspension and Termination

• By you: You may stop using the Service and delete your account at any time. Deleting your account does not by itself cancel an app-store subscription — cancel it in your Apple ID or Google Play account settings.
• By us: We may suspend or terminate your access, with notice where reasonably practicable, if you materially breach these Terms, if required by law, or if we reasonably believe your use creates risk or harm to the Service or others. Where the breach can be remedied, we will normally give you an opportunity to remedy it first.
• On termination, your license to use the App ends and every connected assistant loses access. Sections that by their nature should survive (including Sections 2, 6, 9–14, and 17) survive termination.

16. Changes to the Service and to These Terms

We are continuously developing the Service and may add, change, or remove features and connections. We may also update these Terms. If we make material changes, we will give you reasonable advance notice — for example in the App or by email — before the changes take effect. If you do not agree to the updated Terms, stop using the Service and cancel any subscription before the changes take effect; continued use after the effective date constitutes acceptance. The "Last Updated" date at the top of this page shows when these Terms were last revised.

17. Governing Law and Consumer Rights

These Terms are governed by the laws of Romania and applicable European Union law. Disputes shall be subject to the jurisdiction of the competent courts of Romania.

18. Miscellaneous

• If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• Our failure to enforce a provision is not a waiver of it.
• You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, subject to applicable law.
• These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
